Terms and Conditions for Sales Agreements with Vestjyllands Andel

General
All prices are in Danish kroner and exclusive of VAT. The parties must continuously accept price adjustments as a result of the introduction/change of taxes, customs duties, levies, or other public charges.

Delivery: Subject to force majeure. The agreement only covers the agreed quantity. Otherwise, the sale is carried out in accordance with the seller’s applicable general terms and conditions of trade, cf. www.vja.dk. This agreement may not be transferred to a third party.

The sales agreement does not require a signature, as the sales agreement is entered into in accordance with Vestjyllands Andel’s (hereinafter VA) customary practice, and thus the sales agreement is a confirmation of the oral agreement already entered into between buyer and seller. If you do not agree with the content of the sales agreement, you must immediately submit written objections to VA at vja@vja.dk.

Feed Grain and Raw Materials – Bulk Delivery

At the end of the contract period, the following applies: If the remaining quantity is more than 20% of the contracted quantity, the seller may choose to cancel the remaining quantity or extend the contract period by 2 months. During the 2-month extension, DKK 3.00 per 100 kg per month will be added. Thereafter, any remaining quantity may be cancelled or subject to settlement of differences. If the remaining quantity is less than 20% of the contracted quantity, and a new agreement has been entered into for the same product, the contract period is extended by 2 months, after which any remaining quantity is cancelled or subject to settlement of differences. During the 2-month extension, DKK 3.00 per 100 kg per month will be added.

AgroLand

For sales agreements on fertilizer, the seller may, at the end of the contract period, at any time cancel the agreement or extend the contract period by 2 months. Terms and Conditions for Purchase Agreements with Vestjyllands Andel

General
Prices are in Danish kroner exclusive of VAT. Unless otherwise stated, the purchase is made in accordance with VA’s applicable general harvest terms, which can be found at www.vja.dk. A physical copy can be requested. Subject to changes, statutory interventions, and force majeure. The purchase agreement does not require a signature, as it is entered into in accordance with VA’s customary practice, and thus the purchase agreement is a confirmation of the oral agreement already made between buyer and seller. If the purchase agreement does not correspond to the agreed terms, written objections must be submitted to VA immediately. If no objections are made immediately, the agreement is considered binding.

If the contracted quantity has not been fulfilled by the end of the purchase agreement, VA reserves the right to charge a settlement of differences for the remaining quantity, calculated based on the applicable market price on the expiry date of the purchase agreement. The seller is obliged to indemnify the buyer in case of non-delivery.

Upon receipt, one representative sample per load will be taken, which forms the basis for quality determination and settlement. A duplicate sample will also be taken. If there is disagreement regarding settlement, objections must be submitted to VA as soon as possible. In such cases, the duplicate sample forms the basis for final quality determination and settlement. A sample may be sent for external analysis at the seller’s expense.

Collection

Delivery according to buyer’s instructions. Freight according to applicable rates. Upon receipt, a preliminary approval of the goods will be made. VA reserves the right to adjust the price or reject the goods if they do not meet the requirement for sound and healthy products. Goods registered for collection remain at the seller’s risk and must be stored in such a way that quality is not compromised.

Monthly Increase

If the agreement includes monthly increases, these apply from the 1st of the month following the contract start date.

Purchase Agreement with Drying Contract

If crops are delivered that fall below VA’s applicable fee thresholds in terms of quality, the agreed rate will be charged. If crops are delivered that fall outside the contractual limit values, fees are charged in accordance with applicable rates. Only fee rates are fixed with a drying contract. Quantity deductions are still regulated according to the applicable standard terms.

Crops with Alternative Rejection Value

When delivering malting barley, groats oats, or bread wheat that do not meet the specified quality requirements, the goods will be stored in our warehouse for later settlement. Only crops that meet the applicable quality requirements are considered fulfillment of the contracted quantity. If the delivered quantity does not meet approval, the missing remainder will be fulfilled with the stored feed quality goods at the rejection price agreed at the time of entering the purchase agreement. The rejection price is defined as VA’s purchase price for the rejection goods at the time the purchase agreement was entered into.

Malting Barley

The use of certified seed must be documented. The crop must not be desiccated before harvest. Sprouted and dark kernels will be rejected. Varieties and crops from different harvest years must not be mixed. If the lot is not suitable for malting barley, the goods will be downgraded to feed barley.
